PLEASE READ CAREFULLY
This Warranty and After-Sales Policy (“Policy”) sets forth the terms and conditions governing warranty coverage, service procedures, and limitations of liability applicable to all products sold by AgriFuture LLC (“AgriFuture”).
By purchasing, receiving, or using any product supplied by AgriFuture, the purchaser (“Buyer”) expressly acknowledges and agrees to be bound by the terms of this Policy, which forms an integral part of the sales agreement.
1. SCOPE OF WARRANTY
This Policy applies exclusively to the original purchaser of the product from AgriFuture. The warranty is strictly non-transferable and shall automatically terminate upon any resale, transfer, or reassignment of the product to any third party.
This Policy applies solely to products purchased directly from AgriFuture and used within their intended professional and commercial applications.
2. WARRANTY COVERAGE
AgriFuture warrants that XAG-branded agricultural drones, unmanned ground vehicles, controllers, and related equipment will be free from defects in materials and workmanship under normal use, subject to the terms herein.
Warranty coverage is limited to:
- Diagnosis of defects
- Repair or replacement of defective components
- Labor associated with warranty repairs
All warranty services shall be performed at the sole discretion of AgriFuture.
AgriFuture reserves the right to:
- Repair using new or refurbished parts
- Replace with equivalent or reconditioned equipment
- Provide alternative remedies deemed appropriate
3. WARRANTY PERIOD
3.1 General Rule
Warranty periods vary by product type and component classification.
3.2 Warranty Start Date
The warranty period shall commence based on the earliest of the following:
- Product activation date recorded in XAG systems
- Device binding date
- Shipment date plus one hundred eighty (180) days
3.3 Standard Warranty Durations
Unless otherwise specified in product-specific documentation:
- Main equipment: 12 months
- Supporting equipment and accessories: 180 days
- Wear parts: 15 days or excluded from warranty
Detailed component-level warranty periods may be defined in supplementary documentation or manufacturer guidelines and shall prevail where applicable.
4. OUT-OF-BOX DAMAGE (OOB)
The Buyer is responsible for inspecting all products immediately upon delivery.
Any claims for damage, defects, or shortages discovered upon receipt must be submitted within fourteen (14) calendar days from the date of delivery.
Such claims must include:
- Clear photographic evidence of packaging and product condition
- Product serial numbers
- Delivery documentation and proof of receipt
Failure to report within this period shall result in automatic denial of the claim, unless the Buyer provides conclusive evidence that the issue existed prior to delivery.
5. EXCLUSIONS FROM WARRANTY
The warranty does not apply under any of the following circumstances:
5.1 Improper Use and Operation
- Failure to follow user manuals or operating procedures
- Operator or pilot error
- Improper configuration or calibration
5.2 Physical Damage
- Crashes, collisions, or accidents
- Mechanical damage, including deformation, cracking, or breakage
5.3 Environmental and External Factors
- Exposure to extreme weather, temperature, or humidity
- Chemical exposure, including fertilizers and pesticides
- Electromagnetic interference
5.4 Unauthorized Modifications
- Installation of non-approved components
- Use of third-party parts
- Unauthorized firmware or software modifications
5.5 Maintenance Failures
- Failure to perform required maintenance
- Improper storage or transportation
5.6 Normal Wear and Consumables
- Wear and tear due to regular usage
- Consumable components
5.7 Data and Software
- Loss or corruption of data
- Software-related issues not attributable to manufacturing defects
5.8 Force Majeure
- Fire, flood, and natural disasters
- Theft, vandalism, or unlawful acts
5.9 Business and Operational Losses
Under no circumstances shall AgriFuture be responsible for:
- Crop loss or damage
- Yield reduction
- Chemical misapplication
- Operational downtime
- Loss of revenue, profit, or business opportunity
6. BATTERY POLICY
Batteries are considered limited warranty components and are subject to additional restrictions.
The following are expressly excluded from warranty:
- Capacity degradation over time
- Swelling due to usage conditions
- Improper charging or storage
- Exposure to extreme temperatures
Warranty claims for batteries require:
- Verified usage records
- Charging cycle data
- Compliance with manufacturer handling requirements
AgriFuture reserves the right to deny any battery-related claim where proper usage cannot be substantiated.
7. CONDITIONS FOR WARRANTY ELIGIBILITY
All of the following conditions must be met:
- Full payment for the product
- Valid proof of purchase
- Matching serial numbers
- Intact product identification markings
- Compliance with all operational and maintenance requirements
- Submission of claim within thirty (30) days of defect discovery
Failure to meet any condition shall result in the denial of warranty coverage.
8. WARRANTY CLAIM PROCEDURE
8.1 Mandatory Submission Process
All warranty claims must be submitted through AgriFuture’s official Warranty Ticket system.
Claims submitted via email, phone, or other channels without a formal ticket may be disregarded.
8.2 Required Documentation
The Buyer must provide:
- Product serial number
- Proof of purchase
- Detailed description of the issue
- Supporting photos and/or videos
- Flight logs or operational data (mandatory for drones)
8.3 Evaluation and Determination
AgriFuture shall determine, at its sole discretion:
- Root cause of the issue
- Eligibility for warranty coverage
- Appropriate resolution
Such determination shall be final and binding, unless otherwise required by applicable law.
8.4 Shipping Responsibility
The Buyer is responsible for shipping products to the service location
Return shipping is at the Buyer’s expense unless warranty coverage is confirmed
9. MANUFACTURER WARRANTY
Certain components may be subject to manufacturer (XAG) warranty policies.
AgriFuture may assist in facilitating such claims; however, AgriFuture does not assume obligations beyond those explicitly stated in this Policy.
Final resolution in such cases may be dependent on manufacturer review and approval.
10. EPIDEMIC OR SYSTEMIC DEFECTS
In the event of widespread or batch-related defects:
- Resolution shall be determined by the manufacturer
- Remedies may vary from standard warranty procedures
- No specific timelines for resolution are guaranteed
11. FAA COMPLIANCE AND U.S. LEGAL REQUIREMENTS
The Buyer is solely responsible for compliance with all applicable federal, state, and local regulations governing the purchase, registration, and operation of unmanned aircraft systems (UAS) and related equipment.
This includes, but is not limited to:
- FAA registration and certification requirements applicable to the Buyer’s operations
- Operation of drones exceeding 55 lbs under 49 U.S.C. §44807
- Agricultural aerial application operations under 14 CFR Part 137
- Remote Pilot Certificate requirements under 14 CFR Part 107
- All applicable state and local aviation and agricultural regulations
AgriFuture makes no representation or warranty regarding the regulatory approval, certification status, or operational legality of any product in any jurisdiction. AgriFuture bears no responsibility for the Buyer’s non-compliance with any applicable law or regulation.
The Buyer agrees to indemnify and hold harmless AgriFuture from any claims, penalties, fines, or liabilities arising from the Buyer’s failure to comply with applicable regulatory requirements.
12. LIMITATION OF LIABILITY
To the maximum extent permitted by law:
- AgriFuture’s total liability shall not exceed the original purchase price of the product
- AgriFuture shall not be liable for any indirect, incidental, consequential, or punitive damages
This includes, without limitation:
- Loss of profits
- Business interruption
- Reputational damage
- Agricultural or operational losses
13. GENERAL PROVISIONS
- Entire Agreement: This Policy constitutes the complete warranty agreement
- Severability: Invalid provisions do not affect remaining terms
- No Modification: This Policy may not be modified except in writing by AgriFuture
- No Third-Party Rights: This Policy applies solely between AgriFuture and Buyer
14. GOVERNING LAW
This Policy shall be governed by and interpreted in accordance with the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles.
